1. Provider identification and acceptance

These Terms and Conditions of Service (the "Terms") govern access to and use of SyncLayer, available at https://synclayer.co and https://app.synclayer.co, as well as its modules, features and related services.

The service provider is RAMIREZ ESPINOZA FIDEL RODOLFO, Natural person domiciled in Peru, with RUC 10473434721, address at Lima, Peru and contact email [email protected]. SyncLayer is the trade name used by the provider. The provider is not an incorporated company and does not claim that the trade name is registered as a trademark.

By creating an account, accessing or using the service, you accept these Terms and the Privacy Policy published at https://synclayer.co/en/privacy. If you do not agree, you must not use the service.

If you use the service on behalf of a company or entity, you represent that you have sufficient authority to bind it to these Terms.

2. Service description and launch stage

SyncLayer is a productivity and learning platform that may include workspaces, projects, tasks, documents, notes, tables, reports and LingoLearn, as well as features assisted by artificial intelligence.

LingoLearn allows you to read PDF documents, highlight text, save vocabulary and use artificial intelligence features for translations, explanations, vocabulary enrichment and image generation.

SyncLayer is in a launch and commercial validation stage. We do not claim that sales, issued receipts or all features are already available. The availability of plans, payment gateways, countries, currencies and features may change.

Current commercial information is displayed on the platform and at checkout. If these Terms differ from a condition shown before you purchase, the specific condition informed at checkout will prevail, without prejudice to mandatory consumer rights.

3. Registration, authentication and account security

To use certain features, you must create an account and provide accurate, complete and up-to-date information. You may register with an email address or through an identity provider such as Google, where that option is available.

You are responsible for keeping your credentials confidential and for all activity carried out from your account. You must promptly notify us of any unauthorized access or security incident.

You may not share credentials to circumvent plan limits, impersonate another person, create fraudulent accounts or access other users' accounts without authorization.

We may request additional information to verify your identity, prevent fraud or comply with legal obligations.

4. Acceptable use

You must use the service lawfully, respectfully and in accordance with these Terms. You may not:

  • Use the service for illegal, fraudulent or deceptive activities or activities that infringe the rights of third parties.
  • Publish or share content that infringes intellectual property, privacy, reputation, image or any other rights.
  • Attempt to access accounts, systems, data or infrastructure of SyncLayer or other users without authorization.
  • Reverse engineer, decompile, copy, resell or exploit the service, unless expressly permitted by law.
  • Use bots, scrapers, abusive automation or excessive loads that affect service availability.
  • Circumvent plan limits, security mechanisms, access controls or billing systems.
  • Distribute malware, spam, abusive, discriminatory or violent content, or non-consensual sexually explicit content.
  • Use artificial intelligence features to generate content that infringes rights, impersonates identities or harmfully misleads.

5. User content and ownership

You retain ownership of the content you upload or create in the service, including documents, notes, tasks, tables, books, highlights and vocabulary.

You represent that you have the necessary rights and authorizations to upload, store and process your content, including PDFs used in LingoLearn and any third-party personal data you include in your workspaces.

You are responsible for the legality, accuracy and suitability of your content. SyncLayer does not generally review user content and does not guarantee that it does not infringe third-party rights.

You are responsible for backing up information you consider critical. We do not promise recovery of deleted content.

6. License necessary to operate the service

You grant SyncLayer a limited, non-exclusive, revocable and worldwide license to host, process, transmit, display, back up and, where applicable, technically transform your content for the sole purpose of providing, maintaining and improving the service.

This license includes processing necessary for search, text extraction, highlight generation, collaboration and artificial intelligence features that you choose to use.

The license ends when you delete the content or your account, except for information that must be retained for legal obligations, security or dispute resolution. Residual backup copies, if any, are managed in accordance with the operation of the service.

7. Workspaces and collaborative content

Workspaces allow you to organize projects, tasks, notes, tables and other content, and may include collaboration by multiple members with different roles and permissions.

The workspace owner or administrator decides whom to invite and what permissions to grant. Shared content may be visible to other members and may remain available to them while they retain access.

If you leave a workspace or lose access, you may not be able to recover content you have shared. Before revoking access, verify that you keep copies of any information you need.

The user who administers a workspace is responsible for having a legal basis and authorization to store third-party personal data and for handling those data subjects' rights.

8. Free and paid plans

SyncLayer may offer a free plan and paid plans with different limits, features and conditions. Current limits and features are displayed on the platform.

Paid plans may not be available in every country or at every time. The availability of a payment gateway, currency or payment method does not imply that all combinations are active.

We may modify, update, suspend or discontinue features for technical, commercial or legal reasons, seeking to maintain service continuity and communicate relevant changes where appropriate.

9. Billing, renewal and cancellation

When paid plans are enabled, prices, currency, applicable taxes and the billing period will be displayed before you complete the purchase.

Payments are processed by the enabled payment gateways. By paying, you also accept the terms of the corresponding gateway. SyncLayer does not directly store full card or payment method data.

A subscription will renew automatically only if the checkout and the gateway expressly inform it. If the checkout does not inform automatic renewal, it is not presumed to exist.

You may request cancellation by writing to [email protected] or through the feature enabled on the platform. While cancellation integration with the gateway is not enabled, cancellation in SyncLayer may not by itself stop recurring charges; in that case, you must also cancel the subscription directly with the payment gateway.

Cancellation prevents future renewals from the time it is processed but does not automatically generate a refund for the period already started. Access to the contracted plan may remain until the end of the paid period, unless the law or the checkout states otherwise.

If you believe a charge is incorrect, contact us within a reasonable period so we can review it. You may also use the consumer protection mechanisms available to you.

10. Refunds and consumer rights

These Terms do not by themselves establish a money-back guarantee or an absolute no-refund policy. Any applicable refund conditions shown at checkout will apply together with mandatory law.

Nothing in these Terms excludes or limits mandatory rights recognized to consumers by law, including those under Law No. 29571, the Peruvian Consumer Protection and Defense Code, where applicable.

Peruvian consumers may submit complaints through the enabled channels. Where required, a virtual Complaints Book will be enabled in accordance with applicable law. The availability of this mechanism must be verified before charging customers.

If you reside in another jurisdiction, you retain the rights granted to you by mandatory laws of your country.

11. Third-party services

The service may integrate infrastructure, authentication, payment, storage, email, analytics, notification and artificial intelligence providers. Use of those features may be subject to those providers' terms and policies.

We do not guarantee the continuous availability of any particular provider. SyncLayer may change providers, discontinue an integration or modify how a feature is provided for technical, commercial or legal reasons.

Links to or integrations with third-party services do not imply that SyncLayer controls or endorses all their content, availability or security.

12. Artificial intelligence features

AI-assisted features may generate translations, explanations, vocabulary enrichment, images or other results. These results may be inaccurate, incomplete, outdated or inappropriate.

We do not guarantee the accuracy, originality, availability or suitability of AI results for a particular purpose. You must review them before use and should not rely on them as the sole source for legal, medical, financial or other professional decisions.

Do not send confidential, sensitive or third-party information to AI features without sufficient authorization. Processing by external providers is also governed by their own terms and policies.

We do not claim that artificial intelligence providers do not use data to train models. That circumstance must be verified with each provider and may vary depending on the service, configuration and plan.

13. Availability and support

We seek to keep the service available and secure, but we do not guarantee that it will operate uninterrupted, error-free or compatible with every device and browser. No service level agreement (SLA) is offered unless expressly stated in writing.

We may perform scheduled or unscheduled maintenance, updates and technical changes. Where reasonable, we will seek to provide advance notice.

Support is provided through the channels enabled on the platform or at [email protected]. Response times may vary depending on the complexity of the case and the service's launch stage.

14. Suspension and account deletion

You may stop using the service and request cancellation or deletion of your account by writing to [email protected].

We may suspend or terminate your access, in whole or in part, if you breach these Terms, if there is fraudulent or abusive use, if a payment is not completed, if required by law or if necessary to protect SyncLayer, other users or third parties.

Where reasonably possible, we will inform you of the reason for suspension and the conditions to appeal or regularize the situation.

Account deletion may result in loss of access to content. We will retain information that must be kept for legal obligations, security or dispute resolution. Provisions that by their nature should survive termination will remain in effect.

15. Intellectual property and trade name

The service, its software, design, text, interfaces, documentation and other elements of SyncLayer are used by RAMIREZ ESPINOZA FIDEL RODOLFO or its licensors and are protected by intellectual property law.

These Terms do not transfer any ownership rights in the service to you. We only grant you a limited, non-exclusive, non-transferable and revocable right to use it as contracted.

SyncLayer is a trade name used by the provider. We do not claim that the trade name or associated signs are registered as trademarks. Third-party trademarks belong to their respective owners.

16. Limitation of liability

To the maximum extent permitted by law, SyncLayer will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, business opportunities or reputation arising from the use or inability to use the service.

The total liability of SyncLayer to you for any claim related to the service will be limited, to the extent permitted by law, to the amount actually paid by you to SyncLayer during the twelve months preceding the event giving rise to the claim, or one hundred United States dollars (USD 100), whichever is greater. If you use a free plan, the amount of USD 100 will apply.

These limitations do not apply in cases of willful misconduct, gross negligence, fraud, death, personal injury or any situation where the law prohibits their exclusion or limitation. Nothing in this section excludes mandatory consumer rights.

17. Indemnity

To the extent permitted by law, you agree to indemnify RAMIREZ ESPINOZA FIDEL RODOLFO, its collaborators and providers against claims, losses, damages, costs and reasonable expenses, including legal fees, arising from:

  • Your breach of these Terms or applicable law.
  • Content you upload, publish or share through the service.
  • Your misuse of the service or artificial intelligence features.
  • Infringement of third-party rights, including intellectual property, privacy or image rights.

This obligation does not apply to the extent that the claim arises from an act or omission attributable to SyncLayer.

18. Changes to the Terms

We may update these Terms to reflect changes in the service, the law or our commercial practices.

The current version will be published at https://synclayer.co/en/terms and will state the last updated date. If changes are material, we will seek to communicate them within a reasonable period.

If you continue using the service after the changes take effect, you will be deemed to accept the new version. If you do not agree, you must stop using the service.

19. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Peru, without prejudice to mandatory rules applicable in your country of residence.

Any dispute arising from these Terms or the use of the service will be submitted to the competent courts of Lima, Peru, unless applicable law establishes a different mandatory forum.

If you are a consumer, you retain the rights recognized by Law No. 29571, the Peruvian Consumer Protection and Defense Code, and you may resort to INDECOPI or the applicable dispute resolution mechanisms.
